Clutch or Trans ?

I have a 1995 ford probe GT with a 2.5 5spd = 128,000 mile. The problem I trying to close in on is that the clutch pedals feels ok but going into first I will get a grind and very hard to put into gear.also driving down the road (highway) it will just pops out of 5th gear
I was told it was the trans.:( what does everyone think I could really use some help
