Will the 32 valve cylinder heads off a 4.6 mustang cobra work on a '97 F150 4.6 (vin code 6) engine?what all would have to be done?

Doubtful. Unless you swapped out pistons as well as heads. The valves would end up slapping the pistons and you'd have problems.
